Terms of Service

Welcome to GeoPulso. These Terms of Service (“Terms”) govern your access to and use of GeoPulso’s website, applications, APIs, and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who We Are

GeoPulso is a software service that helps users collect, organize, and export business-related location data and related workflow outputs.

In these Terms, “GeoPulso,” “we,” “us,” and “our” refer to the operator of the Service.

2. Eligibility

You must be legally able to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that:

  • you have the authority to accept these Terms;
  • the information you provide is accurate and current;
  • your use of the Service will comply with applicable law and these Terms.

3. Accounts

To use certain features, you may need to create an account. You may sign in using third-party authentication providers such as Google.

You are responsible for:

  • maintaining the confidentiality of your account;
  • all activities that occur under your account;
  • promptly notifying us if you suspect unauthorized access or misuse.

We may suspend or terminate accounts that are used in violation of these Terms.

4. Description of the Service

GeoPulso provides tools to help users run searches, manage projects, process business-related data, and export results.

The Service may include features such as:

  • account-based access;
  • usage-limited subscription plans;
  • search and export tools;
  • integrations with third-party service providers;
  • billing and subscription management.

We may modify, improve, limit, or discontinue parts of the Service at any time.

5. Subscription Plans and Billing

Some features of the Service are provided on a paid subscription basis.

5.1 Billing Provider

Payments are processed by third-party payment providers, including Stripe. We do not store full payment card details on our servers.

5.2 Renewals

Unless otherwise stated, paid subscriptions renew automatically at the end of each billing period until canceled.

5.3 Upgrades and Downgrades

We may allow you to change plans. Changes may take effect immediately or at the next billing cycle, depending on how the billing system is configured.

5.4 Taxes

Prices may exclude taxes, duties, levies, or similar governmental assessments, unless stated otherwise. You are responsible for applicable taxes associated with your purchase.

5.5 No Refund Policy

At this time, GeoPulso does not offer a general refund policy unless otherwise required by applicable law or expressly stated in writing.

6. Acceptable Use

You agree not to misuse the Service.

You must not:

  • use the Service for unlawful, fraudulent, deceptive, or abusive purposes;
  • violate the rights of others, including privacy, intellectual property, or contractual rights;
  • use the Service to collect, process, or use data in violation of applicable law;
  • attempt to gain unauthorized access to systems, accounts, or data;
  • interfere with or disrupt the integrity, security, or performance of the Service;
  • reverse engineer, scrape, copy, or resell the Service itself except as allowed by law;
  • use bots or automation against our platform in a manner that harms the Service or other users;
  • upload malicious code, viruses, or harmful content.

7. Data Use Responsibility

GeoPulso is a tool platform. You are solely responsible for how you use the Service and any data obtained, exported, or processed through it.

If you use the Service to collect or work with public business data or related content, you are responsible for ensuring that your use complies with:

  • applicable privacy and data protection laws;
  • consumer protection and marketing laws;
  • platform terms, website terms, and third-party restrictions;
  • any rules applicable to personal data, sensitive data, or regulated industries.

You must not use the Service to unlawfully collect, process, or exploit personal data.

8. Third-Party Services

The Service may depend on or integrate with third-party services, such as:

  • Google authentication;
  • Stripe billing;
  • analytics providers;
  • error monitoring providers;
  • hosting and infrastructure providers.

We are not responsible for third-party services, their availability, their accuracy, or their policies. Your use of third-party services may also be governed by their own terms and privacy policies.

9. Intellectual Property

GeoPulso and its related software, branding, interface, content, and functionality are owned by us or our licensors and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business or personal use.

You do not acquire ownership of the Service or any part of it by using it.

10. Your Content

You may provide inputs, search terms, project names, configuration data, and other materials through the Service (“Your Content”).

You retain ownership of Your Content, but you grant us a limited license to host, process, transmit, store, and use it as necessary to provide, maintain, secure, improve, and support the Service.

You represent and warrant that you have the necessary rights to submit and use Your Content through the Service.

11. Service Availability

We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free availability.

The Service may be unavailable from time to time due to:

  • maintenance;
  • updates;
  • third-party outages;
  • infrastructure failures;
  • security events;
  • causes beyond our reasonable control.

12. Beta Features

We may offer experimental or beta features. These may be incomplete, changed, or discontinued at any time and may be subject to additional limits.

Beta features are provided “as is” without any guarantee of performance or availability.

13. Termination

You may stop using the Service at any time.

We may suspend or terminate your access, with or without notice, if:

  • you violate these Terms;
  • your use creates legal, operational, or security risk;
  • we are required to do so by law;
  • we discontinue the Service.

Upon termination, your right to use the Service ends immediately.

14. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEOPULSO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

We do not warrant that:

  • the Service will be uninterrupted, secure, or error-free;
  • results or outputs will be accurate, complete, or suitable for your purposes;
  • the Service will meet your business, legal, or compliance needs.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEOPULSO AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO GEOPULSO FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • USD $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless GeoPulso and its affiliates, owners, officers, employees, contractors, and licensors from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your use of the Service;
  • Your Content;
  • your violation of these Terms;
  • your violation of applicable law or third-party rights.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the Service, by email, or by other reasonable means.

Your continued use of the Service after updated Terms become effective means you accept the revised Terms.

18. Governing Law

These Terms are intended to be interpreted in a commercially reasonable and generally applicable manner. Unless otherwise required by applicable law, disputes relating to the Service will be governed by the laws of a jurisdiction selected by GeoPulso, without regard to conflict-of-law principles.

If you want more certainty, you should replace this section with a specific governing law and dispute forum before launch.
